1. INTRODUCTION
1.1 This website and any associated microsites, portals, mobile versions, and subdomains (collectively, the “Website”) are owned and operated by JESSON GLOBAL PTE. LTD., a company incorporated in Singapore (UEN: 202602183M) with its registered office at 68 Circular Road, #02-01 Singapore 049422 (“Jesson Global”, “We”, “Us”, or “Our”).
1.2 These Website Terms of Use (the “Terms”) govern your access to, browsing of, and use of the Website and all information, data, text, graphics, software, interfaces, functionality, services and other materials made available through it (collectively, the “Content”). By accessing, browsing, registering on, or otherwise using the Website, you:
a. acknowledge that you have read and understood these Terms;
b. agree to be legally bound by them;) and
c. represent and warrant that you have the legal capacity and authority to enter into a binding agreement under applicable law.
If you do not agree to these Terms, you must immediately cease all access to and use of the Website.
1.3 These Terms shall be read together with, and are expressly incorporated by reference to, our Privacy Policy and any other policies, guidelines or supplemental terms that may apply to specific sections or functionalities of the Website. In the event of any inconsistency between these Terms and any supplemental terms, the supplemental terms shall prevail to the extent of the inconsistency.
1.4 Where you submit personal data through the Website, such personal data will be collected, used, disclosed and otherwise processed in accordance with our Privacy Policy and the Personal Data Protection Act 2012 of the Republic of Singapore.
1.5 Amendments We reserve the right to amend, modify or update these Terms at any time at our sole discretion. Any amendments shall take effect upon publication on the Website. Your continued use of the Website after such publication constitutes your acceptance of the amended Terms.
2. NO CLIENT, CANDIDATE OR EMPLOYMENT RELATIONSHIP
2.1 Your access to or use of the Website and its Content does not create, and shall not be construed as creating:
a. any client, consultancy, retainer, advisory or service relationship;
b. any recruitment agency relationship;
c. any employer-employee relationship;
d. any partnership, joint venture or agency relationship;
e. any fiduciary duty owed by Jesson Global to you; or
f. any legally binding obligation on Jesson Global to provide recruitment, executive search, placement or related services.
No legally binding engagement shall arise unless and until a separate written agreement is executed by duly authorised representatives of Jesson Global and the relevant counterparty.
2.2 Nothing contained on the Website shall constitute or be construed as:
a. an offer of employment or engagement;
b. a representation that any vacancy, mandate or assignment exists or will continue to exist;
c.a commitment to shortlist, interview, recommend or place any candidate;
d. a representation that any candidate is suitable, available or qualified for a particular role;
e. a guarantee that any employer will review, consider or respond to any application; or
f. a commitment by any employer to engage Jesson Global’s services.
All recruitment processes are subject to client discretion, internal hiring policies, commercial negotiations, background verification, regulatory requirements and applicable law.
2.3 You acknowledge and agree that:
a. any decision to submit a CV, apply for a role, engage our services, or otherwise act in reliance on the Website is made entirely at your own discretion; and
b. Jesson Global shall not be responsible for any loss, expense or damage arising from any reliance placed on the Website or its Content.
2.4 Nothing on the Website constitutes, or shall be construed as constituting:
a. an offer, invitation or recommendation to subscribe for, purchase, dispose of or otherwise deal in any securities, shares, units, debentures, derivatives or other financial instruments;
b. a prospectus, offering memorandum, product disclosure statement or financial promotion within the meaning of the Securities and Futures Act 2001 of the Republic of Singapore;
c. an offer or invitation in respect of any collective investment scheme or capital markets product;
d. investment, financial, legal, tax or other professional advice; or
e. any solicitation, inducement or recommendation to enter into any financial transaction whatsoever. No Content on the Website is intended to form the basis of, or be relied upon in connection with, any investment decision or contractual commitment of any kind. Any person considering an investment or financial decision must obtain independent professional advice from a suitably qualified adviser.
3. ELIGIBILITY AND ACCEPTABLE USE
3.1 You represent and warrant that you are at least eighteen (18) years of age and possess the legal capacity to enter into binding obligations under applicable law. If you access the Website on behalf of an organisation, you further represent that you have authority to bind that organisation to these Terms.
3.2 The Website may be used solely for legitimate recruitment, employment or business-related purposes. You shall use the Website strictly in accordance with applicable laws and regulations and in a manner consistent with its intended purpose.
3.3 You shall not, whether directly or indirectly:
access or use the Website for any unlawful, fraudulent, defamatory, abusive or improper purpose;
introduce, transmit or distribute viruses, malware, ransomware, trojans, worms, logic bombs or other harmful code;
attempt to gain unauthorised access to any part of the Website, its servers, hosting infrastructure, databases or related systems;
interfere with, disrupt or compromise the integrity, performance or security of the Website;
conduct penetration testing, vulnerability scanning or security testing without prior written consent;
use bots, crawlers, scrapers, spiders, harvesting tools or automated means to access, extract or collect data from the Website;
copy, mirror, frame or systematically download Content;
reverse engineer, decompile or attempt to derive source code from any part of the Website;
upload or submit false, misleading, incomplete or inaccurate information;
impersonate any person or misrepresent your identity, affiliation or authority;

use the Website to solicit business from candidates or clients introduced by Jesson Global;
use information obtained from the Website to circumvent Jesson Global in respect of recruitment engagements;
engage in conduct that damages, dilutes or harms the reputation, goodwill or commercial interests of Jesson Global.
3.4 We reserve the right, but are under no obligation, to monitor use of the Website. We may investigate any suspected breach and take any action we deem appropriate, including suspension, restriction or permanent termination of access without notice.
3.5 You agree to indemnify and hold harmless Jesson Global, its directors, officers, employees and affiliates from and against all claims, losses, liabilities, damages, costs and expenses arising out of or in connection with your breach of these Terms or misuse of the Website.
4. CONTENT AND INFORMATION DISCLAIMER
4.1 All Content made available on the Website is provided strictly for general informational purposes. The Website does not constitute, and shall not be construed as constituting, the provision of recruitment consultancy services, executive search services, employment placement services, legal advice, tax advice, financial advice, career counselling, regulated advisory services or any other professional services. Access to or use of the Website does not create any duty of care, advisory obligation or professional standard of responsibility on the part of Jesson Global.
4.2 You acknowledge and agree that any use of or reliance on the Website and its Content is entirely at your own risk. You remain solely responsible for evaluating the accuracy, completeness and suitability of any information obtained through the Website. You further acknowledge that you must exercise independent judgment and, where appropriate, obtain professional advice from suitably qualified advisers before making any decision relating to employment, recruitment, business engagements or other matters arising from the Website.
4.3 To the fullest extent permitted under the laws of Singapore, Jesson Global excludes and disclaims all representations, warranties and conditions, whether express, implied, statutory or otherwise, including any implied warranties or conditions of accuracy, completeness, reliability, currency, merchantability, satisfactory quality, fitness for a particular purpose, title and non-infringement. Without prejudice to the generality of the foregoing, Jesson Global does not represent or warrant that any job listing or opportunity published on the Website is current, valid, genuine or available, that any employer will review, consider or respond to any application, that any candidate will meet the requirements or expectations of a client, that the Website will operate without interruption, delay, defect or error, that any defect will be corrected, or that the Website, its servers or associated infrastructure are secure or free from viruses or other harmful components.
4.4 Jesson Global shall not be responsible for the acts, omissions, decisions or conduct of candidates, clients, employers or other third parties, including any failure to engage, shortlist, hire, respond to or otherwise interact with users of the Website.
4.5 You acknowledge that the transmission of information over the internet is not completely secure and that no system is entirely immune from cyber risks. Jesson Global does not guarantee the security, confidentiality or integrity of any communication or data transmitted through the Website. To the maximum extent permitted by law, Jesson Global shall not be liable for any loss, corruption, interception, unauthorised access, delay or alteration of data, nor for any damage to hardware, software, systems or devices arising from access to, use of or inability to use the Website.
5. LIMITATION OF LIABILITY
5.1 To the fullest extent permitted by applicable law, Jesson Global, its directors, officers, employees, agents and affiliates shall not be liable for any loss, damage, liability, claim, cost or expense arising out of or in connection with access to, use of, or inability to use the Website or reliance on any Content.
5.2 Without prejudice to the generality of Clause 5.1 and to the maximum extent permitted under Singapore law, Jesson Global shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive loss or damage, nor for any loss of profits, loss of revenue, loss of business, loss of opportunity, loss of anticipated savings, loss of goodwill, loss or corruption of data, business interruption, or any pure economic loss, whether arising in contract, tort including negligence, breach of statutory duty, misrepresentation or otherwise, even if such loss was foreseeable.
5.3 No liability shall arise in respect of any decision made or action taken in reliance on the Website or its Content. All reliance is at your sole risk.
5.4 Where liability cannot be excluded as a matter of law, including under the Unfair Contract Terms Act 1977 of the Republic of Singapore, Jesson Global’s total aggregate liability shall, to the extent permitted, be limited at our option to the re-supply of the relevant services or the payment of the cost of re-supplying the relevant services.
5.5 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability which cannot lawfully be excluded or restricted under Singapore law.
6. INTELLECTUAL PROPERTY
6.1 All intellectual property rights in and to the Website and the Content, including all text, graphics, logos, icons, trademarks, service marks, trade names, layout, design, software, databases and underlying source code, are owned by or licensed to Jesson Global and are protected by Singapore and international intellectual property laws. All rights not expressly granted are reserved.
6.2 Subject to compliance with these Terms, Jesson Global grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website solely for lawful personal or internal business purposes. No ownership rights are transferred to you.
6.3 You shall not, without prior written consent of Jesson Global, reproduce, copy, modify, adapt, translate, distribute, transmit, republish, display, perform, create derivative works from, commercially exploit or otherwise use any part of the Website or Content for commercial purposes. You shall not remove, obscure or alter any copyright, trademark or proprietary notices.
6.4 Nothing on the Website grants any licence or right to use any trademark displayed without the prior written consent of the relevant owner. Unauthorised use may constitute an infringement of intellectual property rights and may result in civil and criminal liability.

8.1 All personal data submitted, transmitted or otherwise made available through the Website shall be collected, used, disclosed, stored and otherwise processed in accordance with our Privacy Policy and the Personal Data Protection Act 2012 of the Republic of Singapore, as amended from time to time, and any subsidiary legislation or regulatory guidance issued thereunder.
8.2 Where you submit or otherwise make available personal data relating to any third party (including, without limitation, referees, employees, representatives or candidates), you represent and warrant on a continuing basis that:
(i) you have obtained all necessary consents, authorisations and permissions required under applicable data protection and privacy laws to enable Jesson Global to collect, use, disclose and process such personal data for the purposes contemplated by the Website and our Privacy Policy;
(ii) you have provided all required notifications to such individuals; and
(iii)such personal data has been collected and disclosed lawfully and in compliance with all applicable laws.
8.3 You agree to fully indemnify and hold harmless Jesson Global, its directors, officers, employees and agents from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, penalties, fines, costs and expenses (including legal costs on a full indemnity basis) arising out of or in connection with any breach of the foregoing representations, warranties or applicable data protection laws.
9. AVAILABILITY AND MODIFICATIONS
Jesson Global does not guarantee that the Website will be available at all times or operate without interruption. We may suspend, withdraw, discontinue or restrict access to all or any part of the Website at any time without notice and without liability. Changes to Website and Terms We reserve the right to modify the Website, its functionality, or these Terms at any time at our sole discretion. Updated Terms shall take effect upon publication. Continued use of the Website constitutes acceptance of the amended Terms.
10. ELECTRONIC COMMUNICATIONS
By accessing or using the Website, you consent to receiving communications electronically and acknowledge that electronic records, notices and agreements satisfy any legal requirement that such communications be in writing in accordance with the Electronic Transactions Act 2010 of the Republic of Singapore.
11. GOVERNING LAW AND JURISDICTION
These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of Singapore. You irrevocably submit to the exclusive jurisdiction of the courts of the Republic of Singapore. Jesson Global reserves the right to commence proceedings in any other court of competent jurisdiction to enforce its rights or protect its intellectual property.
12. SEVERABILITY
If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed and the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original commercial intent.
